1. Who We Are and What This Page Covers

Retail Volts Inc. is a Wyoming corporation that runs an investor awareness and media business under the RetailVolts name. This page sets out the statements, disclosures and policies (together, the "Policies") that apply whenever you read, watch, listen to, follow, subscribe to or otherwise use anything we publish. In these Policies, "RetailVolts," "we," "us" and "our" refer to Retail Volts Inc. together with every brand, property and account in the RetailVolts family, which includes retailvolts.com; VoltDispatch (voltdispatch.com and @VoltDispatch on X); GateWatch.AI (gatewatch.ai and @GatewatchHQ on X); VoltBackstage (voltbackstage.com and @VoltBackstage on X); VoltListings (@VoltListings on X); @RetailVolts on X; the RetailVolts, GateWatch, VoltDispatch and VoltListings pages on LinkedIn; the Reddit communities, Telegram channels, Stocktwits, Discord, YouTube and Meta accounts RetailVolts operates; and every other handle, page, channel, newsletter, report, interview, video and publication in the RetailVolts family of brands (collectively, the "website").

By using the website you confirm that you have read these Policies in full, that you understand them, and that you accept them. Your acceptance forms a binding agreement between you and RetailVolts covering your use of the website, the services we make available through it, and our handling of any information you give us. If you do not accept these Policies, you must not use the website, and you confirm that you have not read, viewed or relied on anything published by RetailVolts.

Nothing in this overview replaces the detailed sections that follow. If you only read this section, you have not read the Policies. Please do not rely on a summary.

2. How RetailVolts Is Paid

RetailVolts is a paid service. The companies we feature, cover, interview or discuss have hired us to produce and distribute content about them, to run communities and channels on their behalf, to monitor sentiment about them, and to help them become better known to retail investors. Our fees are paid either in cash (by wire transfer, check or card) or in shares of the client's own stock. Where a client pays us in stock, the shares are held by an independent third party for the benefit of RetailVolts, and the engagement list below says so for that company. We are an advertising, marketing, media production and public relations business. We are not an investment adviser, a broker-dealer, a research firm or a rating agency, and we are not registered as any of those with any regulator.

Because a company pays us to talk about it, you should assume that what we publish about that company is promotional in nature. We have an obvious commercial reason not to publish negative material about the companies that retain us. We try to keep our commentary factual and even-handed, but you should weigh everything we publish with our commercial arrangements in mind.

RetailVolts does not trade in the securities of the companies it works with. We do not buy, sell, short or hedge shares of any company we are engaged by, before, during or after an engagement. Where we are compensated in a client's stock, those shares are held by an independent third party for our benefit, we disclose that on this page and on the related content, and we do not direct trading in them during the engagement. We do not finance the companies we cover and we do not enter into agreements to buy their securities. Our owners, officers, directors and employees are subject to the same rule. Our independent contractors, writers, editors and interview hosts are instructed in writing not to trade in the securities of any company they produce or review content about; we do not, however, audit their personal trading and we cannot guarantee their compliance.

Where another party, including a featured company, an investor or a third party channel, forwards or republishes our content, that republication happens outside our control and may not carry these disclosures. We take no responsibility for content once it has been republished by others.

We never (i) hold or control any reader's money, (ii) manage any reader's portfolio or make decisions about it, or (iii) give any reader individual investment guidance. If anyone claiming to represent RetailVolts offers to do any of those things, they do not speak for us.

If a company is featured on the website and does not appear above, it has either paid us under an older program and its listing has been retired, or we have published about it as news commentary without compensation. Where a specific piece of content is paid for, it also carries its own disclosure at the point of publication.

4. Not Investment Advice

Nothing on the website is investment, legal, tax or accounting advice, and nothing on it is a recommendation that any security, strategy or transaction is right for you. Everything we publish is written for a general audience with no knowledge of your finances, objectives or risk tolerance. Nothing we publish is an offer to sell, or a solicitation of an offer to buy, any security, in any jurisdiction.

Neither RetailVolts nor any of its owners, officers, directors, employees, contractors, hosts or contributors is a registered investment adviser or broker-dealer, or an associated person of one, and none of them is making any statement that an investment in any company we feature is suitable for you or likely to be profitable. Our only relationship with you is that you use our website. We owe you no fiduciary, advisory or similar duty.

Before you make any investment decision, speak with a qualified, independent financial professional who knows your situation, and do your own research. At a minimum, read the company's own filings with the Securities and Exchange Commission, which are free at www.sec.gov, including its annual and quarterly reports, current reports and proxy materials, together with its press releases. By using the website you agree that our content is not, and will not be, a factor in any investment decision you make.

5. Accuracy, Opinions and Forward-Looking Statements

We build our content from public filings, company announcements, interviews with management and other sources we believe to be reliable at the time. We do not independently audit or verify what companies tell us or file publicly, and we do not promise that anything we publish is complete, accurate, current or free of error. Information can change without notice and we are under no obligation to update anything once it is published. Where we feature material supplied by a company, that company and its management are responsible for its accuracy, not us.

Opinions expressed on the website, in interviews, in reports or in posts are the personal views of the individual author, host or guest at the time, based only on what that person knew. You should not assume that anyone at RetailVolts has special insight into any company or industry.

Much of what the companies we feature say about themselves, and some of what we repeat, looks to the future: plans, targets, forecasts, expectations, pipelines, timelines and intentions. These are forward-looking statements, and you can usually spot them by words such as "expects," "plans," "believes," "anticipates," "targets," "estimates," "intends," "may," "will" or "should." Forward-looking statements are not facts. They depend on assumptions that can prove wrong and on events outside anyone's control, and actual results can differ materially from what they describe. The risk factors that could cause that difference are set out in each company's own SEC filings. Neither RetailVolts nor the companies we feature undertake to update any forward-looking statement, and RetailVolts gives no assurance that any of them will come true.

ALL CONTENT ON THE WEBSITE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. ANYONE WHO USES OUR CONTENT DOES SO ENTIRELY AT THEIR OWN RISK AND SHOULD CONFIRM ANY FACT INDEPENDENTLY BEFORE ACTING ON IT.

6. Risk Warnings

Investing in the securities of the companies we feature can result in the loss of your entire investment. Past price performance, including any move that followed one of our interviews, reports or posts, tells you nothing about future performance. The companies we work with are frequently small, early stage or newly public, often through a SPAC merger, an IPO, a direct listing or a reverse merger, and many of them trade at low prices. You should only invest money you can afford to lose completely.

The purpose of the website is to help companies become visible to retail investors. It is not designed to be, and must not be used as, the basis for a decision to buy or sell anything. Any decision you make about a security we have featured is yours alone and at your own risk. By using the website you agree that you will not seek to hold RetailVolts, or anyone involved in producing the website, liable for any loss connected with information you obtained from it.

7. Microcap Risk Warnings

RetailVolts works with companies listed on national securities exchanges such as Nasdaq and the NYSE American. We do not provide services to companies whose securities trade only over the counter. Many of the companies we feature are nonetheless microcap companies, meaning they have small market capitalizations, and an exchange listing does not remove the risks that come with that size.

Microcap securities are often thinly traded. Low trading volume means that a relatively small order can move the quoted price significantly, that the spread between the bid and the ask can be wide, and that you may not be able to sell a position quickly, or at all, at a price close to the last quote. Prices of microcap securities tend to be far more volatile than those of larger companies, and sharp moves in either direction, including around news, interviews and promotional activity of the kind we produce, are common.

Many microcap companies have limited operating histories, little or no revenue, recurring losses, going concern qualifications in their audited financial statements, and a need to raise additional capital, which can dilute existing shareholders. Companies that have recently completed a SPAC merger may have experienced heavy redemptions, may have far less cash than originally projected, and may have large numbers of warrants, earnout shares or lock-up releases that can weigh on the share price. Exchange-listed microcaps can also receive deficiency notices for failing to meet continued listing standards, such as the minimum bid price or minimum market value requirements, and can be delisted, after which their securities may trade only over the counter with far less liquidity and far less public information.

Independent research coverage of microcap companies is limited or non-existent, so reliable information about a company's prospects may be hard to find, and a paid awareness program like ours may be one of the few sources talking about the company at all. That makes independent verification essential. Before investing in any microcap security we encourage you to read the SEC's investor guide "Microcap Stock: A Guide for Investors" at sec.gov/investor/pubs/microcapstock.htm and the company's own filings on EDGAR.

10. Privacy and Cross-Border Data

Our Privacy Policy explains what information we collect and how we use it, and it forms part of these Policies. In short: you can read most of the website without telling us anything about yourself. Some services, such as requesting a briefing, subscribing to a newsletter or channel, or receiving the GateWatch.AI daily sentiment email, do require information from you, and if you choose not to provide it we may not be able to provide the service or respond to you.

RetailVolts is organized under the laws of the State of Wyoming and operates from the United States, and our systems and service providers are located in the United States. If you use the website from outside the United States, you are sending your information to the United States, where it may be stored, processed and routed, and from which it may be transferred onward, possibly through countries whose privacy laws offer more or less protection than the laws of the country you are in. Wherever your information travels, we will handle it in accordance with our Privacy Policy.

11. Consent to Collection and Use of Information

Using the website is voluntary. When you use it, your device and browser automatically send us technical information such as your IP address, browser and operating system type, device type, approximate location derived from your IP address, the pages you visit, the links you click and the site you came from, and we and our analytics providers may use cookies and similar technologies to collect it. When you request a briefing, subscribe, create an account, join a channel or community we run, or contact us, you also give us information that identifies you, which can include your name, email address, phone number, company, job title, mailing address and the stock ticker you are interested in.

By using the website, and by giving us information about yourself, you represent and warrant that you understand we will receive, collect, store and use that information as described in our Privacy Policy, and that you freely and unambiguously consent to our doing so. You can withdraw your consent at any time by closing your account, unsubscribing from the relevant newsletter, channel or community, or emailing our Data Protection Officer at mo@retailvolts.com. Withdrawing consent does not affect processing that took place before you withdrew it, and it may mean we can no longer provide some services to you.

12. Email and Direct Message Disclosure

Every email, direct message, chat message and attachment sent by RetailVolts or anyone on its behalf is confidential and intended only for the person or company it is addressed to. It may be legally privileged and it may contain material non-public information about a public company, including information about an engagement, a transaction or a vote that has not yet been announced. If you receive a RetailVolts message that was not meant for you, tell the sender by replying, delete the message and any copies from your systems, and do not read, keep, forward, copy or act on it. Unauthorized interception, disclosure or use of our communications is prohibited and may be unlawful, including under the Electronic Communications Privacy Act of 1986.

The intended recipient of a RetailVolts message may not forward, reproduce or distribute it, in whole or in part, to anyone else without our written permission. Our messages are not research reports, do not contain research analysis, and are not recommendations to buy or sell any security. If a message gives you information about a public company that is not yet public, trading in that company's securities, or passing the information to someone who does, may be insider trading under the federal securities laws and the rules of the SEC and FINRA. RetailVolts and the individual sender accept no responsibility for any trading or other action a recipient takes on the basis of a message.

Our messages may contain forward-looking statements, which are subject to the same risks and uncertainties, and the same disclaimer, described in the Accuracy, Opinions and Forward-Looking Statements section above. We are under no obligation to update anything said in a message.

13. Governing Law and Where Disputes Are Heard

These Policies, and any dispute between you and RetailVolts arising out of or relating to them or to your use of the website, are governed by the laws of the State of Wyoming, without regard to any conflict of laws rule that would apply the law of another jurisdiction. You agree that any such dispute will be brought only in the state or federal courts sitting in Laramie County, Wyoming, you submit to the personal jurisdiction of those courts, you agree that Laramie County is the exclusive venue, and you give up any objection to that venue based on inconvenience or any other ground. If any part of these Policies is found unenforceable, the rest remains in effect.
